Last updated: 29-06-2026 These Terms and Conditions ("Terms") govern your access to and use of the Zari360 website at https://zari360.in, the Zari360 mobile and web applications, the "Connect" network, marketplace and jobs services, and the related ERP tools (together, the "Platform" or the "Services"). Zari360 is operated by an India-based company ("Zari360", "we", "us", or "our").

Please read these Terms carefully. By creating an account or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not access or use the Platform.

If you use the Platform on behalf of a business, firm, mill, institute, or other organisation, you confirm that you are authorised to accept these Terms for that organisation, and "you" includes that organisation.

These Terms may be presented in Gujarati, Hindi, and English. If there is any conflict between language versions, the English version will prevail for legal purposes.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract under Indian law to use the Platform. By using the Platform, you confirm that you meet these requirements.

You may not use the Platform if you are barred from doing so under any applicable law, or if your account has previously been suspended or terminated by us.

3. Accounts and Security

To use most features, you must create an account and provide accurate, current, and complete information. You are responsible for keeping your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that happens under your account. You agree to:

• Keep your password and any one-time passwords (OTPs) secure and not share them.
• Notify us promptly at official@zari360.in if you suspect any unauthorised use of your account.
• Not create accounts using false information or impersonate any person or business.

We may refuse, suspend, or cancel an account at our discretion if we believe these Terms have been broken or to protect the Platform or other users.

4. Description of Services

Zari360 provides a digital Platform for India's textile trade. It is offered in two broad parts:

4.1 Connect (public product)

"Connect" is a free business-to-business (B2B) network, marketplace, and jobs platform. It is intended for textile traders, karigars (artisans), dalals (brokers), mills, training institutes, and related participants. Connect features may include user profiles, company pages, posts and feeds, messaging, a marketplace for products and services, requests for quotes (RFQs), and job and training listings.

4.2 ERP tools

Underneath Connect, Zari360 offers business operations tools ("ERP"), which may include attendance, payroll and salary, GST billing and invoicing, and production management features. Some ERP features may require a paid subscription.

We may add, change, or remove features at any time. Some features may be offered on a trial or beta basis and may change or be withdrawn without notice.

5. User-Generated Content and Licence

The Platform allows you to create, upload, post, and share content, including posts, profile and company information, product and job listings, images, videos, reviews, comments, and messages ("User Content").

5.1 Your responsibility

You are solely responsible for your User Content. You confirm that:

• You own your User Content or have all rights needed to post it.
• Your User Content is accurate and does not mislead others.
• Your User Content does not break any law or these Terms and does not infringe anyone's rights.

5.2 Licence to Zari360

By posting User Content, you grant Zari360 a non-exclusive, worldwide, royalty-free, sub-licensable licence to host, store, copy, display, reproduce, adapt, and distribute that User Content for the purpose of operating, providing, promoting, and improving the Platform. This licence continues for content that other users have shared or saved, and for backups and records, even after you remove the content or close your account, to the extent reasonably needed.

5.3 No obligation to monitor

We are not required to review or monitor User Content in advance. We may, but are not obliged to, remove or restrict any User Content that we believe breaks these Terms or the law.

6. Acceptable Use and Prohibited Conduct

You agree not to use the Platform to do, post, or share anything that:

• Is false, fraudulent, deceptive, or a scam.
• Is unlawful, defamatory, obscene, abusive, harassing, hateful, or threatening.
• Infringes intellectual property, privacy, or other rights of any person or business.
• Involves spam, repeated unwanted messages, or bulk unsolicited promotions.
• Contains malware, viruses, or harmful code, or attempts to hack, overload, or disrupt the Platform.
• Scrapes, harvests, or copies data from the Platform without our written permission.
• Lists or promotes illegal goods or services, counterfeit goods, or anything prohibited by law.
• Misrepresents your identity, business, role, or qualifications.
• Collects or misuses other users' personal data.

You also agree to follow any community guidelines or content policies we publish on the Platform. We may take action, including content removal, warnings, suspension, or account termination, against conduct that breaks these rules.

7. Reporting, Moderation, and Takedown

The Platform provides a "Report" mechanism so users can flag posts, profiles, listings, jobs, messages, and other User Content that they believe breaks these Terms or the law.

• Reports are reviewed by our moderation team.
• We may remove or restrict reported content, issue warnings, or suspend or terminate accounts based on our review.
• We may also act on content we discover ourselves, without a report.
• We aim to handle reports within a reasonable time, but we do not promise any specific outcome or timeframe.

8. Marketplace and Jobs Disclaimers

Zari360 is a platform that connects buyers, sellers, employers, workers, brokers, institutes, and other participants. We are not a party to any deal, transaction, employment relationship, or agreement made between users.

• We do not own, sell, inspect, or guarantee any product, service, job, course, or listing posted by users.
• We do not verify, endorse, or guarantee the accuracy, quality, legality, or reliability of any third-party listing, profile, review, or claim.
• Any contract, payment, delivery, hiring, or other dealing between users is solely between those users. You deal with other users at your own risk.
• You are responsible for carrying out your own checks (including verifying identity, quality, pricing, licences, and legal compliance) before entering into any deal.

We are not responsible for any loss, dispute, non-delivery, non-payment, defect, or other problem arising between users.

9. Payments and Subscriptions

Some Services, including certain ERP tools or promotional features such as boosts, may require payment or a subscription.

• Pricing, plan details, and any applicable taxes (including GST) will be shown before you purchase.
• Subscriptions and paid features are subject to the specific plan terms presented at the time of purchase.
• Unless stated otherwise or required by law, fees are non-refundable.
• We may change pricing and plans on a prospective basis, with notice where required.

Payment processing may be handled by third-party payment providers, and their terms may also apply.

10. Intellectual Property

The Platform, including its software, design, logos, trademarks, text, graphics, and other materials (other than User Content), is owned by Zari360 or its licensors and is protected by intellectual property laws.

You may use the Platform only as allowed by these Terms. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our written permission.

"Zari360", "Connect", and related names and logos are marks of Zari360. You may not use them without our permission.

11. Third-Party Links and Advertising

The Platform may contain links to third-party websites, services, or content, and may display advertising.

• Google AdSense advertisements are served only on the Connect (/connect) pages of the Platform.
• We do not control and are not responsible for third-party websites, services, content, or ads.
• Your dealings with third parties, including advertisers, are solely between you and the third party.

Inclusion of a link or ad does not mean we endorse it.

12. Disclaimers

The Platform and all Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that any content, listing, or information is accurate, complete, or reliable. You use the Platform at your own risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• Zari360, its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, goodwill, or business, arising from your use of or inability to use the Platform.
• Zari360 will not be liable for any loss or damage arising from dealings between users, third-party content, listings, ads, or links.
• Our total aggregate liability for any claim relating to the Platform will not exceed the total amount you paid to us (if any) for the Service giving rise to the claim in the three months before the claim arose, or one thousand Indian Rupees (INR 1,000), whichever is higher.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify and hold harmless Zari360, its directors, employees, and partners from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform.
• Your User Content.
• Your breach of these Terms or any law.
• Your dealings or disputes with other users or third parties.

15. Termination and Suspension

You may stop using the Platform and close your account at any time.

We may suspend or terminate your access to all or part of the Platform, with or without notice, if we believe you have broken these Terms or the law, or to protect the Platform, other users, or our rights.

On termination, your right to use the Platform ends. Provisions that by their nature should survive (including content licence, intellectual property, disclaimers, limitation of liability, and indemnity) will continue to apply.

16. Data Protection

We process personal data in accordance with our Privacy Policy and India's Digital Personal Data Protection Act, 2023 (DPDP Act) and the DPDP Rules, 2025, as applicable. Please review our Privacy Policy to understand how we handle your information.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

Subject to applicable law, the courts at our registered place of business in India will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Platform. The parties will first try to resolve any dispute amicably through good-faith discussion before starting any legal proceedings.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide notice on the Platform. Your continued use of the Platform after changes take effect means you accept the updated Terms.
